By accessing or using Coldri ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including visitors, registered users, and customers with paid subscriptions. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify you of material changes via email or a prominent notice on our website.

Coldri provides a cloud-based cold email outreach platform, including but not limited to: - Lead finding tools, including Buyer Signals and Website Visitors - AI-assisted creation of offers, audiences, and email sequences - Sending campaign emails and follow-ups through mailboxes that you connect to Coldri - Optional email warmup between the mailboxes in your own account - Reply detection and classification, and a CRM for managing responses - Domain setup guidance, including the DNS records (SPF, DKIM, and DMARC) to add at your registrar, with automatic application for supported registrars - CSV export of mailbox details for third-party sending platforms - Dashboard access for managing mailboxes, domains, and campaigns You are responsible for the mailboxes and domains you connect, and for your relationship with the email providers that host them. The Service is intended for legitimate business outreach purposes only.

To access certain features, you must create an account. You agree to: - Provide accurate, current, and complete information during registration - Maintain and promptly update your account information - Keep your password confidential and not share it with third parties - Notify us immediately of any unauthorized access to your account - Accept responsibility for all activity that occurs under your account You must be at least 18 years old to create an account. Accounts created by bots or automated methods are prohibited. Coldri reserves the right to suspend or terminate accounts that violate these Terms.

Coldri offers subscription-based plans billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis. Pricing and Plans: - All plan prices are displayed in USD and exclude applicable taxes - Plan changes take effect at the start of the next billing cycle Refunds: - Coldri does not offer refunds for partial months of service - Refund requests for annual plans (if applicable) must be submitted within 14 days of purchase We reserve the right to modify pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not use the Service to: - Send spam, unsolicited bulk email, or messages that violate the CAN-SPAM Act, CASL, GDPR, or other applicable regulations - Harass, threaten, or harm individuals - Distribute malware, viruses, or other malicious code - Impersonate any person, company, or entity - Engage in phishing, fraud, or deceptive practices - Circumvent, disable, or interfere with security features of the Service - Use the Service to send to purchased or harvested email lists without proper consent - Violate the terms of service of any third-party sending platform integrated with Coldri Violation of this policy may result in immediate account termination without refund.

The Service and its original content, features, and functionality are owned by Coldri and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any data, content, or materials you provide to the Service. By using the Service, you grant Coldri a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely as necessary to provide the Service. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software without our prior written consent.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. You are responsible for ensuring that any personal data you process through the Service complies with applicable data protection laws, including the GDPR and CCPA where applicable.

To the maximum extent permitted by applicable law, Coldri and its officers, directors, employees, and agents shall not be liable for: - Any indirect, incidental, special, consequential, or punitive damages - Loss of profits, revenue, data, business opportunities, or goodwill - Damages resulting from unauthorized access to or alteration of your data - Damages resulting from the conduct of third-party email platforms or service providers - Any matter beyond our reasonable control Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to Coldri in the three months preceding the claim.

You agree to defend, indemnify, and hold harmless Coldri and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from: - Your use of the Service in violation of these Terms - Your violation of any applicable law or regulation - Any content you transmit through the Service - Your infringement of any third-party rights

Either party may terminate this agreement at any time. You may cancel your subscription through your account dashboard. We may suspend or terminate your access immediately, without prior notice, if you violate these Terms. Upon termination: - Your access to the Service will be disabled - Your data will be retained for 30 days to allow for export, after which it may be permanently deleted - You remain responsible for any charges incurred prior to termination - Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
